Public offer

Version of: [DD.MM.YYYY]

This document is a public offer by [LEGAL ENTITY NAME] (the “Provider”) setting out the terms of use of the Academly online service. Any legal entity or individual entrepreneur (the “Customer”) taking the actions in section 3 accepts these terms fully and unconditionally. The offer is made under the Civil Code of the Republic of Uzbekistan. The Uzbek version prevails in case of discrepancy.

1. Definitions

1.1. “Service” — the Academly online system for learning centers: students, groups, attendance, payments, staff payroll, reports and Telegram notifications to parents.

1.2. “Center” — the Customer’s own account in the Service (with its own address, e.g. center.academly.uz).

1.3. “User” — a person the Customer gives access to the Service: director, administrator, teacher.

1.4. “Plan” — the price and terms of use of the Service (including the limit of active students), published on academly.uz.

1.5. “Trial” — the period of free use of the Service (14 calendar days).

2. Subject

2.1. The Provider grants the Customer the right to use the Service over the internet (as a subscription), and the Customer pays for the chosen Plan.

2.2. The Service is provided “as is”. The Provider keeps improving the Service and may change its features while keeping the core ones (billing, attendance, reports).

3. Acceptance

3.1. Any of these actions is acceptance: sending a request on the website and agreeing to open a Center; the first sign-in with the login and password given by the Provider; paying for a Plan.

3.2. From acceptance, this offer has the force of a written contract between the Provider and the Customer.

4. Access

4.1. The Provider opens the Center and gives the Customer’s director a permanent login and a one-time password. At the first sign-in the director sets their own password.

4.2. The director grants access and permissions to other Users (administrators, teachers) and is responsible for their actions.

4.3. The Customer must not share logins and passwords with third parties and, if they are disclosed, must change the password at once or inform the Provider.

4.4. A forgotten password is restored only by the Provider, by issuing a new one-time password after confirming the director’s identity.

5. Price and payment

5.1. A new Center gets a free 14-day Trial. After it ends, a Plan is chosen and paid to continue.

5.2. The Plan price depends on the number of the Center’s active students. If the limit is exceeded, the Customer moves to a higher Plan.

5.3. Payment is made monthly or for a longer period in advance by bank transfer against the Provider’s invoice. Prices are shown [including / excluding VAT].

5.4. The Provider may change Plan prices with at least 30 calendar days’ notice. The price of a period already paid does not change.

5.5. If payment is overdue, the Provider may, after a warning, temporarily restrict access to the Service. The Customer’s data is kept meanwhile.

6. Rights and obligations

6.1. The Provider keeps the Service running; stores data on servers in the Republic of Uzbekistan; makes daily backups; tries to announce maintenance in advance; does not disclose the Customer’s data to third parties except as required by law.

6.2. The Customer enters data of students, parents and staff lawfully and with their consent (or that of their legal representatives); pays on time; does not use the Service for unlawful purposes.

6.3. Data entered into the Service belongs to the Customer. The Provider processes it only to provide the Service and technical support (see the Privacy policy).

7. Liability

7.1. The Provider is not liable for the accuracy of data entered by the Customer or for Users’ actions.

7.2. The Provider is not liable for outages caused by internet providers, Telegram or other third-party services, or by force majeure.

7.3. In any case the Provider’s liability is limited to the amount the Customer paid for the last month.

8. Term and termination

8.1. The contract is concluded for an indefinite term from acceptance.

8.2. The Customer may stop using the Service at any time; money for a paid but unused period is [refunded / not refunded — choose].

8.3. After termination, the Customer’s data is provided in Excel on request. Within [30] days after the Center is closed its data is deleted completely, except records the law requires to keep.

9. Disputes

9.1. Disputes are settled by negotiation. Failing agreement, a dispute is heard by the court of [city] under the law of the Republic of Uzbekistan.
